Platform terms
These release-candidate terms set the intended CouncilAid service boundary between LOGiT Australia Pty Ltd and an organisation using the platform. They remain non-effective until independent review, approval and publication through the CouncilAid governance workflow or incorporation into an agreed customer contract.
This working draft supports product and professional review. It must not be represented as CouncilAid's final legal position or relied on as legal advice.
Provider and agreement
LOGiT Australia Pty Ltd (ABN 53 615 466 807) provides CouncilAid. An organisation accepts the applicable terms when its authorised representative accepts an order, subscription or other written agreement that incorporates them. A person using CouncilAid confirms that they are authorised by the organisation and will comply with its CouncilAid policies and access controls.
Service purpose
CouncilAid supports local-government asset evidence, financial planning, budget optimisation, maintenance and works management. It provides evidence-led decision support. It does not replace Council governance, engineering judgement, financial advice, procurement review, statutory decision-making or professional advice required for a particular project.
Council authority and Members
The customer appoints authorised administrators to create and manage its tenant, invite Members and assign roles. Each Member must use their own verified identity and protect access. The customer is responsible for the authority and accuracy of its instructions, approvals and role assignments. Contractors may receive restricted access only to assigned work.
Council data and permitted processing
The customer retains its rights in Council data. The customer grants LOGiT Australia a non-exclusive licence to host, copy, secure, transform and otherwise process that data only as reasonably required to provide, support, protect and improve the contracted service. The customer warrants that it has authority to provide the data and instructions and will avoid unnecessary personal, sensitive, confidential or legally restricted information.
Platform and output intellectual property
LOGiT Australia retains rights in CouncilAid, its software, models, methods, interface, templates and general know-how. The customer may use and adapt outputs generated specifically from its data for its internal Council purposes, subject to third-party rights and source conditions. Feedback may be used to improve CouncilAid without disclosing the customer’s confidential information.
Evidence, estimates and AI outputs
CouncilAid distinguishes verified, estimated, assumed and unknown information. Model results, forecasts, grant drafts and AI-assisted outputs depend on available evidence and disclosed assumptions and may contain errors or become outdated. The customer must review and approve outputs before relying on them, allocating funding, procuring work, changing authoritative asset records or making a statutory decision.
Trial, subscriptions, tokens and payment
The introductory 30-day trial does not require a payment method. No fee becomes payable merely because a trial is created. A paid subscription, token purchase or invoiced service begins only after an authorised customer representative accepts the displayed or written price and applicable purchasing workflow. Token and AUD estimates must be shown before chargeable analytical work. Invoices and payment terms stated in an accepted order take precedence for that purchase.
Acceptable use and suspension
Members must not upload unlawful or malicious material, evade security or payment controls, access another tenant, misuse personal or confidential information, interfere with the service, reverse engineer protected parts of the platform or use outputs for an unlawful purpose. We may restrict or suspend affected access where reasonably necessary to protect the service, another customer, a third party or legal compliance, and will notify the customer where practicable.
Security, privacy and confidentiality
Each party must protect the other party’s confidential information and use it only for the agreement. LOGiT Australia applies the published Data Handling Statement and Privacy Policy to CouncilAid operations. The customer remains responsible for its devices, identities, role decisions, lawful collection and its own records obligations. Each party must promptly notify the other of a suspected incident materially affecting the other party’s information.
Availability and third-party services
We use reasonable care to operate and maintain CouncilAid, but availability may be affected by maintenance, internet conditions, emergencies and approved third-party providers. Public datasets, maps, grants, identity, hosting, scanning, AI, email and future payment services may have separate terms, availability and limitations. Any specific service level, support commitment or implementation service must be stated in the accepted order.
Termination, export and deletion
Either party may terminate as set out in the accepted order, including for an unremedied material breach. After termination, the customer has a 30-day exit period to request an available export. We then revoke access and delete or de-identify non-record data no longer required. Council records, financial records, audit evidence, disputes, investigations and legal holds remain subject to the approved retention basis described in the Data Handling Statement.
Liability and mandatory rights
Nothing excludes rights, guarantees or liabilities that cannot lawfully be excluded. Subject to those rights and to the extent permitted by law, neither party is liable for indirect or consequential loss, loss of opportunity or loss arising from a decision made without the required Council or professional review. LOGiT Australia’s aggregate liability arising from the service is limited to the fees paid or payable for CouncilAid in the 12 months before the event giving rise to the claim. This limitation does not apply to fraud, wilful misconduct or liability that cannot lawfully be limited.
Governing law and notices
Queensland law governs these terms and the parties submit to the courts of Queensland and courts entitled to hear appeals from them. Formal notices to LOGiT Australia may be sent to kieran.shirey@logitaust.com; customer notices may be sent to the administrative contact recorded for its tenant. Before commencing proceedings, the parties should attempt in good faith to resolve the dispute through authorised representatives, except where urgent relief is required.
